Terms of Service – Evidaro

These terms are between SCUTI MARKETPLACE INDIA (OPC) PRIVATE LIMITED, CIN U47912UP2025OPC218793, registered office P-1801, Pan Oasis Society, Sector 70, Noida, Gautam Buddha Nagar, Uttar Pradesh 201301, India ("Evidaro", "we") and the organisation that accepts them ("Customer", "you"). The person accepting confirms they are authorised to bind the Customer.

1. The service

Evidaro is software for compliance operations: requirement libraries, applicability, compliance calendars, controls, document review, observations, document requests, reports and an assistant. It runs on Amazon Web Services in India.

2. Evidaro is a tool, not a professional adviser

  • Evidaro does not provide legal, accounting, audit, tax or secretarial advice, and does not certify compliance.
  • Outputs – including applicability results, deadlines, document cross-checks and assistant answers – are aids that a qualified professional must review before relying on them.
  • Starter regulatory content is marked unvalidated until your reviewer approves it. Demo content is fictional.
  • The assistant cannot approve, sign, file or certify anything; those actions are always taken by your users.
  • You remain responsible for your professional judgement, filings and client advice.

3. Accounts and acceptable use

You are responsible for your users, their credentials and their actions. You will not: upload content you have no right to process; attempt to access other customers' data; probe or attack the service (except authorised testing agreed in writing); reverse-engineer it; use it to break any law; or resell it without our agreement.

4. Your data

  • You own the data you put into Evidaro ("Customer Data"). You grant us the rights needed only to provide, secure and support the service.
  • We process personal data in Customer Data as your processor under the Data Processing Agreement, which forms part of these terms.
  • We do not use Customer Data to train AI models or for any other customer.
  • Data is stored and processed in AWS Mumbai, as described in the Privacy Policy and the DPA.

5. Confidentiality

Each party keeps the other's confidential information confidential, uses it only for this agreement, and protects it with reasonable care. This continues for 3 years after termination, and indefinitely for Customer Data.

6. Security and availability

We maintain the security measures in the DPA. Unless an order form says otherwise, the service is provided without a service-level commitment; we will give reasonable notice of planned maintenance.

7. Fees

Fees, if any, are set out in the order form or pilot agreement, are exclusive of GST, and are payable within 30 days of invoice. Pilots may be free of charge.

8. Intellectual property and feedback

We own Evidaro and its content (other than Customer Data). Feedback you give may be used to improve Evidaro without obligation.

9. Suspension and termination

We may suspend access to prevent harm or for serious breach, with notice where practicable. Either party may terminate for material breach not cured within 30 days, or as the order form allows. After termination you may export your data for 30 days; we then delete it, except where the law requires us to keep it.

10. Warranties and liability

  • We will provide the service with reasonable skill and care. Otherwise it is provided "as is", to the extent the law allows.
  • Neither party is liable for indirect or consequential loss, or loss of profit.
  • Each party's total liability is limited to the fees paid or payable in the 12 months before the claim (or ₹1,00,000 for free pilots), except for breach of confidentiality, data-protection obligations or indemnities, and liability that cannot be limited by law.

11. General

Governed by the laws of India; courts at Noida, Uttar Pradesh have exclusive jurisdiction. We may update these terms with 30 days' notice for existing customers.
